Law Clerk - Subsidiary Governance:
On behalf of our Financial Services client, Procom is searching for a Law Clerk - Subsidiary Governance for a contract position. 

Law Clerk - Subsidiary Governance - Job Description:
The Law Clerk, Subsidiary Governance will support the Director, Subsidiary Governance within the Corporate Secretary’s Department. The role involves assisting with governance document drafting, maintaining minute books, and supporting Canadian Subsidiary Boards. The successful candidate will thrive in a dynamic environment, demonstrating initiative, sound judgment, and strong organizational skills.

Law Clerk - Subsidiary Governance - Responsibilities:
• Assist in drafting governance documents (e.g., minutes, resolutions, memos).
• Maintain Canadian subsidiary minute books.
• Update signing authorities for Canadian subsidiaries.
• Collaborate with internal partners and respond to requests.
• Assist with scheduling Board meetings and planning.
• Manage team initiatives and complex matters.
• Lead or participate in special projects as required.

Law Clerk - Subsidiary Governance - Mandatory Skills:
• Post-secondary degree with 4+ years of experience or equivalent.
• Excellent computer skills (Microsoft Word, PowerPoint, Excel, Outlook).
• General knowledge of relevant Canadian Acts and OSFI guidelines.
• Strong written and verbal communication skills.
• Detail-oriented with proactive follow-up on outstanding matters.
• Ability to prioritize work with minimal direction.
• Work effectively in a high-volume, paperless environment.

Law Clerk - Subsidiary Governance – Nice-to-Have Skills:
• Experience in a Corporate Secretary’s Department or law firm.
• Experience administering Board Portal platforms like Diligent Boards.
• Law clerk designation.
• Experience in corporate governance and drafting minutes.
• Understanding implications of legislation and regulatory requirements.

This is an (approx.) 11-month contract

ASAP.

Toronto, Ontario, Canada, hybrid with 2 days in office.
